TypeBreeze End User License Agreement

Please read this End User License Agreement, referred to as the "Agreement", before downloading, installing or using TypeBreeze.

By downloading, installing or using TypeBreeze, you agree to be bound by this Agreement. If you do not agree, you must not use the Software.

If you accept this Agreement on behalf of a company or another legal entity, you confirm that you have the authority to bind that entity.

1. Definitions

"We," "us" or "TypeBreeze" means:

"Software" means the TypeBreeze application, its documentation, updates and related components.

"Free Version" means a version of the Software made available without payment.

"Paid Version" means any future version, feature, subscription or licence requiring payment.

"You" means the person or legal entity using the Software.

2. Licence

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable and revocable licence to download, install and use the Software.

The Software is licensed, not sold. We retain all ownership and intellectual-property rights in the Software.

You retain ownership of all documents and other content that you create or edit using TypeBreeze.

3. Free Version and future paid versions

TypeBreeze is currently provided as a Free Version.

You may use the Free Version for personal, educational, professional and commercial purposes.

We may introduce paid licences, subscriptions, premium features or paid upgrades in the future.

We will not charge you retroactively for authorised use of the Free Version. Any future payment obligation will be clearly presented before you purchase or subscribe.

Future Paid Versions may be subject to additional licence, device, payment and renewal terms.

4. Permitted use and restrictions

You may install and use the Free Version on devices that you own, control or are authorised to use.

Unless permitted by applicable law or by our prior written approval, you must not:

  • sell, rent, sublicense or redistribute the Software;
  • share, sell or transfer a future Licence Key;
  • modify or create derivative works of the Software;
  • reverse engineer, decompile or attempt to derive its source code;
  • bypass licence, activation or security mechanisms;
  • remove copyright, trademark or proprietary notices;
  • use the Software for unlawful purposes; or
  • use the TypeBreeze name, logo or branding in a misleading manner.

These restrictions do not limit rights that cannot legally be excluded.

5. Updates and changes

We may provide updates, corrections and new versions of the Software.

Updates may add, change or remove features, improve security, correct errors or change system requirements.

Minor updates may be provided free of charge. Major upgrades or premium features may require payment in the future.

We do not guarantee that every feature or version will remain available indefinitely.

6. Internet access and external services

Some current or future functions may require internet access, including update checks, licence activation, cloud features, artificial-intelligence features or third-party integrations.

Third-party services may be governed by their own terms and privacy policies.

You are responsible for reviewing those terms before using the relevant service.

7. Privacy

Our handling of personal data is described in our Privacy Policy.

Depending on the features used, the Software may process limited technical information such as the application version, operating system, crash information, update requests or licence information.

We do not acquire ownership of your documents.

Where User Content is sent to an external service, we will provide relevant information through the Software, the Privacy Policy or a feature-specific notice.

8. Third-party and open-source software

The Software may include third-party or open-source components.

Those components may be governed by separate licence terms. Applicable notices and licences will be made available in the Software, its documentation or an acknowledgements page.

9. Support

We may provide documentation, updates or support at our discretion.

We will make reasonable efforts to investigate reported issues, but we do not guarantee that every issue will be resolved or that the Software will be free from errors.

You may be required to provide sufficient technical information for us to investigate a problem.

10. Disclaimer

The Software is provided "as is" and "as available."

To the maximum extent permitted by law, we do not guarantee that the Software will:

  • be uninterrupted, secure or error-free;
  • meet every requirement;
  • work on every device or operating system;
  • remain compatible with every file or third-party service; or
  • prevent the loss or corruption of data.

You are responsible for maintaining backups of important files and checking documents before relying on them.

Nothing in this Agreement excludes warranties or consumer rights that cannot legally be excluded.

11. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect or consequential damages, including loss of profit, business, data, productivity or opportunities resulting from the use of, or inability to use, the Software.

For the Free Version, our total liability relating to the Software is limited to CHF 50.

For a future Paid Version, our total liability is limited to the amount paid by you for the Software during the 12 months before the event giving rise to the claim.

These limitations do not apply where liability cannot legally be limited, including cases of intentional misconduct or gross negligence.

12. Termination

This Agreement remains effective until terminated.

You may terminate it at any time by uninstalling and ceasing to use the Software.

We may suspend or terminate your licence if you materially violate this Agreement, bypass licence or security controls, fail to pay an applicable fee or use the Software unlawfully.

Upon termination, you must stop using the affected version of the Software.

Termination does not affect your ownership of documents stored locally on your devices.

13. Changes to this Agreement

We may update this Agreement to reflect changes to the Software, our business model, applicable law or security requirements.

Material changes will be communicated through the Software, our website or another appropriate method.

Updated terms will apply from the stated effective date. Where required by law, we will request your acceptance before new terms apply.

14. Governing law and jurisdiction

This Agreement is governed by Swiss law, excluding its conflict-of-law rules.

Mandatory consumer protections applicable in your country of residence remain unaffected.

Subject to mandatory law, disputes relating to this Agreement will fall under the jurisdiction of the courts at the registered office of TypeBreeze.

15. General provisions

If any provision of this Agreement is invalid or unenforceable, the remaining provisions will remain effective.

Our failure to enforce a provision does not constitute a waiver of that provision.

You may not transfer this Agreement without our prior written consent.

This Agreement and any applicable additional paid-licence terms constitute the agreement between you and us concerning the Software.
